NEW ORLEANS – Tropical Air Kare, a locally owned Louisiana HVAC company led by brothers Steve St. Pierre and Edward St. Pierre, has launched as the result of a merger between Air Kare Air Conditioning & Heating and Tropical A/C & Heating.
The merger combines two established HVAC companies under a single brand. According to the leadership team, the move is intended to allow the companies to grow while maintaining shared standards around workmanship, pricing, and accountability to the communities they serve rather than being absorbed by a larger, externally owned operator.
Consolidation Shapes HVAC Industry Landscape
The announcement comes as consolidation and outside investment continue to reshape the HVAC industry nationwide, a backdrop that helps explain the St. Pierre brothers’ decision to merge locally rather than seek outside ownership.
Industry data show mergers and acquisitions activity in the HVAC services sector has remained elevated, with a midyear analysis by Capstone Partners LLC finding that private equity firms and their portfolio companies were involved in just over half of the 77 deals recorded in the most recent reporting period (through June) and that private equity add-on transactions rose 88% from the prior year.
Industry analysts have pointed to the HVAC services sector’s ‘highly fragmented’ structure as a key driver of private equity interest. According to deal advisers and market researchers, the industry is dominated by small and mid-sized, independently owned contractors operating in local and regional markets.
In sector outlooks published by firms including Capstone Partners and investment advisory platform Axial, analysts said private equity firms view HVAC as well suited for “roll-up” strategies in which multiple local operators are acquired and combined into larger platforms designed to achieve scale, operational efficiencies, and expanded geographic reach.
PKF Investment Banking published an industry outlook piece that shows mergers and acquisitions activity among HVAC services providers remained steady throughout 2025, with continued interest from both strategic buyers and private equity firms. The report notes that HVAC service businesses are attractive to investors because they generate predictable cash flow and recurring revenue tied to maintenance, repair, and replacement cycles.
Local Ownership and Control
The leadership of Tropical Air Kare said the decision to merge was shaped by these industry trends. Rather than selling to outside investors, the St. Pierre brothers said they opted to combine their two locally owned companies as a way to expand capacity while keeping ownership and decision-making local.
Steve St. Pierre said the merger reflects a long-term commitment to remaining directly involved in the business and accountable to customers in Louisiana.
“Edward and I have spent most of our lives in this industry, working directly with customers in Louisiana,” said Steve St. Pierre, co-owner of Tropical Air Kare. “This merger allows us to build a stronger company without giving up control or changing who we are. We wanted to grow in a way that protects local ownership, keeps service consistent, and puts customers ahead of outside interests.”
Edward St. Pierre said the decision was made with an eye toward both the current market environment and the company’s future direction, particularly as ownership structures shift across the industry.
“We’re seeing more companies change hands while still presenting themselves as local,” he said. “For us, it was important to be clear about what we’re doing and why. We live here, we work here, and we plan to stay here. That means customers know exactly who they’re dealing with and who’s responsible for the work.”
What the Merger Means for Customers
Under the Tropical Air Kare name, the company said customers of both Air Kare Air Conditioning & Heating and Tropical A/C & Heating will continue working with the same technicians and service teams. Company leadership said the merger is expected to improve coordination between the two operations while preserving existing service standards.
